1 Introduction

1.1 The main purpose of ethical guidelines

The ethical guidelines shall ensure that all who act on behalf of the NSE Group carry out their activities in an ethically sound manner and in line with the group's values and principles for business practice and personal conduct.

1.2 Who the guidelines apply to

The guidelines apply to all companies in the NSE Group, hereinafter referred to as «NSE».

The guidelines apply to the business and to each individual employee, for board members, hired personnel, consultants, agents and other intermediaries, lobbyists and others acting on behalf of NSE, hereinafter referred to as the «employee».

1.3 Overall Requirements for the Employee

NSE is subject to Norwegian legislation and the legislation in force in the countries where NSE operates at any given time. Breaches of laws and ethical guidelines will be a threat to the company's reputation and competitiveness. All employees are personally responsible for operating within the requirements of the applicable legislation and NSE's ethical guidelines.

All employees are expected to familiarise themselves with relevant regulations and guiding documentation within their area of responsibility, participate in training and seek advice if in doubt.

All leaders are expected to act as good role models through words and actions. Leaders shall contribute to creating an inclusive and open environment with room to ask questions or make comments without fear of reprisal. Leaders shall report and correct violations of rules.

2 NSE business practices

2.1 Business Method

NSE shall be known as a reliable company that delivers quality on time.

Suppliers, customers, and partners shall be able to trust the Group and its employees. The Group and its employees are therefore committed to complying with applicable laws and regulations, adhering to a high ethical standard, and taking active corporate social responsibility in their business operations. The employee shall comply with the rules and guidelines set by the customer for each assignment, including the requirements relating to stays on the customer's property outside of working hours. NSE shall encourage its business associates to adhere to ethical standards that align with NSE's ethical requirements. NSE shall have a business culture characterised by the company's established values:

• Accuracy

• Safety

• Experience

A lack of morals and unethical attitudes among employees is a threat to desired and expressed quality. Our fundamental rule is that all parts of the organisation should strive to act fairly, honestly, and with personal integrity in their dealings with colleagues, customers, suppliers, competitors, and the public.

2.2 Salary and terms of employment

Employees shall be assured of wages, working conditions and working hours in accordance with relevant legislation and agreements that prevent social dumping. All employees shall have a written employment contract in a language understandable to the employee.

2.3 Fair Competition

NSE shall compete within the current competition regulations in the market in which the company operates, and otherwise with integrity and in an ethically sound manner.

No one shall participate in anti-competitive behaviour, such as price-fixing, bid rigging, market sharing, or the exchange of competition-sensitive information, nor shall they abuse market power in contravention of competition legislation.

The employee should focus on NSE's competitive advantages and avoid promoting the weaknesses of competitors or others in the industry.

2.4 Combating Corruption

Preliminary provisions

Corruption can lead to distorted competition, undermining legitimate business operations, perpetuating poverty and oppression, and exposes the company to risk and damage to its reputation. Any form of corruption is unacceptable at NSE.

Corruption can occur in various ways. For example, bribery may exist if an employee attempts to influence someone in the performance of their duties by giving or offering them an improper or undue advantage. Trading in influence may exist if an employee, through a third party, gives or offers someone an improper or undue advantage to influence a business relationship.

The prohibition against corruption applies to both the person giving or offering the undue advantage, and the person requesting, receiving, or accepting it. The prohibition applies in both the private and public sectors, and both in Norway and abroad. An undue or improper advantage may, for example, consist of cash, objects, discounts, reimbursement of travel or accommodation expenses, participation in events, or services, etc.

NSE is primarily responsible for corrupt acts committed by the company's employees. In addition, NSE may be held responsible for corrupt acts committed by third parties who have contracted with NSE, and in other cases where NSE may benefit from corrupt acts committed by third parties. NSE shall therefore actively work to reduce the risk of corruption in the company's business, and in all contractual relationships will oblige third parties to adhere to the same rules and procedures as apply to NSE regarding corruption.

Facilitation payments

Facilitation payments are payments made to speed up or secure the delivery of services or products to which one is rightfully entitled. This could include payments demanded of an employee to get goods through customs more quickly, to get through passport control faster, etc. As a general rule, such payments are illegal under Norwegian legislation. NSE does not accept such payments except in cases where there may be a risk to the life or health of the employee or others, or if the employee feels threatened by the situation. Any such payment must be reported to NSE's finance manager, explaining why the amount was paid. The expense shall be accounted for at NSE as a «facilitation payment» and the amount refunded to the employee.

Gifts and representation

Employees must not, under any circumstances, request personal benefits from business associates. Gifts, entertainment, events, and other benefits must be carefully considered in relation to the specific situation and the overall circumstances. Individuals must themselves assess whether a benefit is likely to influence their own or others' objectivity, independence, or integrity. Hospitality, such as social events, gifts, expenses, or other services, may be accepted and offered provided it is in accordance with the company's guidelines.

Employees cannot give or receive gifts, with the exception of minor tokens of appreciation not exceeding a value of approximately NOK 500, preferably promotional items. If it would be clearly impolite to refuse a gift of higher value, the employee may still accept the gift, but must immediately report the matter to their immediate manager and the general manager, and the gift shall be handed over to them. See also procedure NSE-ADM-P01 Financial Authorisations.

If the employee is aware that the business associate has a lower value threshold than NSE, gifts with a higher value than that applicable in the recipient's company should not be exchanged.

Cash is unacceptable regardless of the amount or circumstances. It is not permitted to receive personal discounts as a result of business affiliation with NSE. Exceptions apply to discounts approved by NSE. If it is clearly business-related, an employee may attend social gatherings and receive refreshments, provided the cost is reasonable. NSE shall, in this context, itself pay for the employee's travel, accommodation, and other expenses. Similarly, employees acting on behalf of NSE may not offer or pay for hospitality contrary to the above principles.

The employee must exercise a high degree of caution when considering or receiving any gifts or hospitality from or to a representative of a company with whom NSE is in negotiations or an tendering phase, and prior to other important decisions. Hospitality shall not be offered or received in connection with contract bidding, evaluation or awarding.

Employees must exercise a high degree of caution regarding any offers of gifts or entertainment to public officials, and in such cases, written prior approval from senior management must always be obtained. Employees must exercise similar caution when receiving gifts or entertainment from public officials. Expenses related to gifts and entertainment shall be handled in accordance with current accounting and tax legislation.

Use of intermediaries

Any agreement between NSE and an agent, consultant, lobbyist, or other party acting as an intermediary between NSE and a third party, shall be in writing and describe the actual relationship between the parties. There must be compliance between the agreed remuneration and the described service to be delivered.

The contract must include a requirement that the intermediary shall follow NSE's ethical guidelines. The guidelines shall be reviewed with the intermediary before a contract is entered into, with particular focus on the prohibition of corruption. The contract shall stipulate that NSE shall have full insight into what the intermediary does on behalf of the company, including access to audit the intermediary, and that NSE has the right to terminate the agreement if corruption is uncovered.

NSE can only announce the use of a lobbyist to influence decisions in the public or private sector if the lobbyist informs the NSE that they represent the NSE. The contract with the lobbyist must contain a clause stating that the lobbyist is obliged to disclose this information.

Mandatory integrity background check

Before a contract is entered into with a new third party, a background check (e.g. Integrity Due Diligence) shall be conducted on the business associate with regard to financial and reputational risk for NSE. A contract shall only be entered into where the business associate meets NSE’s requirements for Integrity Due Diligence.

The requirement for Integrity Due Diligence applies in relation to all third parties, including partners, suppliers, consultants, agents, etc.
